General Terms of Sale
Last updated: October 2026
These General Terms of Sale apply to all sales by CRALTECH ELECTRÓNICA S.L., Plaza del Vapor 5-6C, Pol. Ind. Les Guixeres, 08915 Badalona (Barcelona), Spain, VAT number ESB62644596 (the “Seller”) to customers outside the European Union (the “Buyer”).
1. Application
These Terms apply to every quotation, order confirmation and sale. By placing an order, the Buyer accepts them. The Buyer’s own terms of purchase do not apply unless the Seller accepts them in writing. A signed agreement between the parties, including the Seller’s Export Compliance and Sanctions Addendum, prevails over these Terms.
2. Orders and Prices
2.1 An order is binding only once the Seller confirms it in writing (including by email). The order shall state the country of final destination of the products.
2.2 Prices are those in the Seller’s quotation or order confirmation, in euros, excluding VAT, import duties and local taxes.
3. Payment
3.1 Payment of 100% of the invoice amount in advance by bank transfer. Products are dispatched only after full payment is received.
3.2 All bank charges, including intermediary bank fees, are borne by the Buyer, so that the Seller receives the full invoice amount. Title to the products passes upon full payment.
4. Delivery
4.1 Unless otherwise stated in the order confirmation, delivery is FCA Seller’s premises, Badalona (Incoterms® 2020). Risk passes to the Buyer in accordance with that Incoterm. If agreed, the Seller may arrange carriage on the Buyer’s behalf, at the Buyer’s risk and cost, without changing the Incoterm.
4.2 The Buyer acts as importer of record in the destination country and is responsible for import clearance, duties and taxes.
4.3 Delivery dates are estimates. The Buyer shall notify any visible damage or shortage in writing within seven (7) days of receipt.
5. Local Certifications
5.1 The products comply with EU (CE) requirements. The Buyer is responsible, at its own cost, for obtaining all certifications, registrations and approvals required, if any, to import and sell the products in the destination country (such as, where applicable, ECAS in the United Arab Emirates or SASO in Saudi Arabia).
5.2 The Seller will provide the technical documentation reasonably required for these certifications. Any consequence of the lack of local certification (customs detention, fines, returns) is borne by the Buyer.
6. Warranty
6.1 The products are warranted against defects in materials and workmanship for 24 months from delivery.
6.2 The warranty excludes damage caused by improper installation, use or storage, unauthorised modification or repair, accidents and normal wear.
6.3 The Seller will, at its option, repair or replace the defective product, or refund its price. Products are returned under a return authorisation (RMA): shipping to the Seller at the Buyer’s cost, return shipping at the Seller’s cost, excluding import duties and taxes in the destination country. If no defect covered by the warranty is found, the Buyer bears all shipping and inspection costs.
7. Liability
The Seller is not liable for indirect or consequential loss, including loss of profit or business. The Seller’s total liability is limited to the price paid for the products concerned, except in cases of wilful misconduct or gross negligence.
8. Trademarks
The Buyer may use the Seller’s trademarks only to resell the products. It shall not modify or rebrand the products, nor remove labels or serial numbers, nor register any trademark or domain name similar to the Seller’s.
9. Export Control and Sanctions
9.1 The Buyer shall comply with all applicable export control and sanctions laws, including those of the EU, Spain, the UN and, where applicable, the United States.
9.2 The Buyer shall not sell, export or re-export the products, directly or indirectly, to any sanctioned country or territory (including Russia, Belarus, Iran, North Korea and the areas of Ukraine not controlled by its Government), or to any person or entity subject to sanctions. The products shall not be used in connection with weapons of mass destruction, for military end-use in a country under an arms embargo, or for internal repression or human rights violations.
9.3 In accordance with Article 12g of Council Regulation (EU) No 833/2014 and Article 8g of Council Regulation (EC) No 765/2006, the Buyer shall not sell, export or re-export, directly or indirectly, to the Russian Federation or Belarus, or for use in the Russian Federation or Belarus, any products supplied by the Seller. The Buyer shall inform the Seller immediately of any breach of this clause.
9.4 The Buyer shall obtain the Seller’s prior written approval before reselling the products to a military, defence, police or security end-user, and shall provide end-user information upon request.
9.5 The Seller may refuse or cancel any order, without liability, if it reasonably believes it may breach these laws. Any breach of this clause entitles the Seller to cancel pending orders and terminate the commercial relationship immediately, and the Buyer shall indemnify the Seller for any resulting fines or damages.
10. Force Majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, epidemics, supply shortages, transport disruptions, or changes in law or sanctions.
11. Governing Law and Jurisdiction
These Terms and every sale are governed by the laws of Spain. The parties submit to the exclusive jurisdiction of the courts of Barcelona, Spain. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. These Terms are written in English, which prevails over any translation.
